Welcome to Zhop! These Terms of Service (“Terms”) govern your access to and use of Zhop!, a web and mobile e-commerce platform operated by Zhop Philippines, Inc. (“Zhop!”, “we,” “us,” or “our”) with operations in the Philippines. These Terms apply whether you are a buyer, seller, affiliate, or visitor of the platform.

By accessing, registering, or using our website (http://zhop.ph) and mobile application (the “Platform”), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Platform.

1. Eligibility

To use Zhop!, you must be:

  • At least 18 years old, or the age of majority in your jurisdiction; Capable of entering into a legally binding agreement; Agreeing to comply with all applicable laws and these Terms.
  • If you are under 18, you may only use Zhop! under the supervision of a parent or legal guardian.

2. Account Registration

To access certain features (e.g., selling, tracking affiliate sales), you must create an account.

  • You must provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree not to impersonate others or create an account for someone else without permission.
  • Zhop! may suspend or terminate your account for any violation of these Terms.
  • We may require verification of your identity during the registration process.

3. Affiliate Program

Zhop! provides users with the opportunity to earn commissions through an affiliate link program.

  • Each user may generate and share affiliate links.
  • Commissions will be calculated based on successful purchases through these links.
  • Commission rates and payout schedules are subject to change at any time, with or without notice.
  • Fraudulent or abusive affiliate activity (e.g., self-referrals, fake clicks) is strictly prohibited and may result in permanent account termination.

4. Product Listings & Transactions

a. Sellers

  • You may list lawful products for sale.
  •  You must ensure all product information (price, availability, condition) is truthful and accurate.
  • Sellers must honor transactions and handle deliveries, refunds, and complaints professionally.
  • Zhop! reserves the right to remove listings that violate our policies or applicable law.

b. Buyers

  • You agree to pay for items you purchase and provide accurate shipping information.
  • Refunds, exchanges, and disputes will be resolved based on our return/refund policies.

5. Prohibited Conduct

You agree NOT to:

  • Violate any applicable law or regulation.
  • Post, sell, or promote counterfeit or restricted items.
  • Interfere with the operation of the Platform.
  • Attempt to gain unauthorized access to any part of Zhop!
  • Use automated tools (bots, scrapers) without written consent.
  • Engage in misleading, manipulative, or fraudulent affiliate behavior.

6. Intellectual Property

All content on the Zhop! Platform—logos, images, text, software—is owned by or licensed to Zhop! and protected by IP laws. You may not copy, reproduce, distribute, or exploit any part of the Platform without written permission.

7. Termination

We may suspend or terminate your access if:

  • You breach these Terms;
  • We are required to by law;
  • Your use poses a legal risk or harm to the platform or its users.

You may also close your account at any time via the app settings. If your account is suspended or terminated, you may appeal the decision by contacting our support team at support@zhop.ph within [number] days of the suspension.

8. Disclaimers

Zhop! provides the platform “AS IS” and “AS AVAILABLE.”

We do not guarantee that the Platform will always be secure, error-free, or uninterrupted.

Zhop! is not liable for disputes between buyers and sellers or for product quality, unless it relates to Zhop!-branded goods.

Zhop! does not warrant that the products sold by third-party sellers will meet your expectations or be free from defects.

9. Limitation of Liability

To the fullest extent permitted by law, Zhop! is not liable for any indirect, incidental, punitive, or consequential damages arising from your use of the Platform. In no event shall our liability exceed the amount you paid for the last transaction.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be brought exclusively before the appropriate courts of Quezon City, Metro Manila.

11. Updates to These Terms

We may update these Terms from time to time. Changes will be effective upon posting on the Platform. Continued use after changes constitutes your acceptance.

Zhop! shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond Zhop!'s reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.
